    Besoin de votre aide Contrat

Salut Ă  tous,


J'aurais besoins de votre aide, je suis en contact avec une société américaine
qui place des compositions. Je leur ai demandé un contrat exemple et j'ai bien du mal à le comprendre.

Je vous met le contrat ici:
LICENSING & PUBLISHING ADMINISTRATION AGREEMENT
Effective this 4th day of March, 2013, this agreement (“Agreement”) is made and entered into between
Soc X (ASCAP), (hereinafter referred to as “Agent”) and Mister Z
(ASCAP)(hereinafter referred to as “Principal”).

Whereas, Agent is engaged in the solicitation of uses of musical compositions and sound recordings in connection with films, television shows, commercials, home videos, video games and various other uses
in all types of media, and Whereas, Principal owns or controls certain musical compositions and/or sound recordings set forth in
Schedule A, attached hereto and made a part hereof (hereinafter referred to individually and collectively as “the Compositions”),

Now, therefore, for good and valuable consideration, receipt of which is hereby acknowledged, Principal hereby engages Agent as its non-exclusive agent to solicit licensing opportunities of all types in all media now known or hereafter devised, subject to the terms and limitations hereinafter set forth.

RIGHTS.
(a) Agent shall have the exclusive right to solicit and issue licenses for the Compositions for uses
of all types in all media now known or hereafter devised, including but not limited to films, television
shows, commercials, home videos, video games, websites, wireless media and all digital and physical
product configurations now known or hereafter devised. Agent shall have the sole discretion to approve
the fees, terms and conditions for such licenses and Principal hereby acknowledges its approval and
grants authority to Agent to enter into any such licenses on Principal’s behalf with no further approval from
Principal. This shall include the right for Agent to include the Compositions together with other musical
compositions and sound recordings to which Agent has acquired rights from third parties in any collection
or library that may be licensed to Agent’s licenses on a blanket licensing basis.

(b) Principal must deliver to Agent all individual Audio Files used in the Compositions, upon
Agent’s request. Agent shall have the right to re-mix, re-master and make any edits to the Compositions.
Audio files submitted must be WAV/AIFF with a sampling resolution (Bit Rate) of no less than 48kHz.

2. TERM. The Term of this Agreement shall be in Perpetuity from the date first shown above.

3. TERRITORY. The Territory of this Agreement shall be the Universe.

4. PAYMENTS. Agent shall pay to Principal Fifty Percent (50%) of sums actually received by
Agent from its licensees for uses of the Compositions secured hereunder.

5. PERFORMANCE ADMINISTRATION.

(a) Upon Agent’s issuance of a license for any actual use of any of the Compositions by any of
Agent’s licensees, or any confirmation of an actual use of any of the Compositions by any of Agent’s
licensees who are operating under a blanket license from Agent, Agent shall have the right to register a
claim as the exclusive administrator of the specific Composition used with the performance society with whom Principal is affiliated, such that Agent shall be entitled to collect the publisher’s share of performance royalties earned by said Composition. Principal hereby agrees to
execute any necessary documentation to effect and confirm Agent’s registration with the performance
society.

(b) The Administrative Term during which Agent shall be so entitled shall be in Perpetuity.

© Agent shall be entitled to retain One Hundred Percent (100%) of the publisher’s share of all performance income earned by the Composition with no portion thereof payable to Principal. Principal
shall retain One Hundred Percent (100%) of its so-called “Writer’s Share” of any performance income, with no portion thereof payable to Agent, regardless of whether such income is related to licenses issued
by Agent hereunder.
J'ai du mal Ă  savoir si c'est reglo ou pas:
DOnc je céde mes droits à perpétuité et sur tout l'univers (^^) et je touche 50% des royalties sur les licences, 100% des droits d'auteurs et 0% des droits d'éditeur?

Ensuite je dois faire de la société l'administateur de mes droits? (j'ai aps compris ce passage là)

Bref d'habitude je fonctionne en buy out donc là je suis paumé.
Si vous pouviez m'éclairer un peu ça serais chouette.
